Please read these Terms and Conditions (“Terms”, “T&C”) carefully before using the btfnetwork.com website (“the Service”) operated by BTF Network (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, clients, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Description of – Services

BTF Network is a distinguished entity in media production, promotion, and content creation. We offer a wide array of comprehensive services, including but not limited to:

• Media Production: Full-cycle production of high-quality video and audio content, including concept development, scriptwriting, filming, and post-production.
• Advertisement Solutions: Tailored advertising strategies, including digital advertisements, video promotions, and branded content, particularly focused on the Kerala market.
• Content Creation Expertise: Specializing in compelling narratives for films, brands, and digital platforms.
• Floor Rental: Provision of fully equipped studio spaces for rent in Kerala for interviews, photoshoots, and other creative endeavors.

2. Client Obligations and Conduct

2.1. Client Cooperation: For all services, the Client agrees to cooperate with the BTF Network team, providing timely feedback, necessary materials, and approvals to ensure the successful and timely completion of the project.

2.2. Lawful Content: The Client warrants that all content, materials, and scripts provided to BTF Network for production or promotion do not infringe upon the intellectual property rights, privacy rights, or other rights of any third party and comply with all applicable local, national, and international laws.

2.3. Project Payments: Specific payment terms, schedules, and cancellation policies will be outlined in the separate Service Agreement or Proposal provided to the Client for each project.

3. Intellectual Property Rights (IP)

3.1. BTF Network IP

All content, features, and functionality on the Service, including but not limited to text, graphics, logos, images, and the “Revenue Manager” documentation (see Section 3.2), are and will remain the exclusive property of BTF Network and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of BTF Network.

3.2. Specialized Content and Documentation (Revenue Manager CTA)

By clicking the “Read Revenue Manager” Call-to-Action (CTA) or accessing any specialized articles, reports, guides, or documentation provided by BTF Network:

• Grant of License: We grant you a limited, non-exclusive, non-transferable license to view and use the “Revenue Manager” content solely for your internal business or personal informational purposes.
• Restrictions: You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the “Revenue Manager” content without the express written consent of BTF Network. This content is proprietary and protected by copyright law.
• No Financial/Legal Advice: The “Revenue Manager” content and any related information are provided for informational and educational purposes only and do not constitute professional financial, legal, or investment advice. Reliance on any information provided is solely at your own risk.

3.3. Client Project IP

Upon full payment of the project fees specified in the Service Agreement, the ownership of the final deliverables (e.g., video masters, final advertisements) created by BTF Network under that specific agreement shall typically transfer to the Client, subject to any retained rights specified in the Service Agreement (e.g., BTF Network’s right to use the work for promotional purposes).

4. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

5. Limitation of Liability

In no event shall BTF Network, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service, including the “Revenue Manager” documentation; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, specifically the jurisdiction of Kochi, Kerala, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
